NON-DISCLOSURE AGREEMENT (WEBSITE SUBMISSION)
Effective Date: the date on which the user submits a request, inquiry, or application via https://lincday.com

This Non-Disclosure Agreement (“Agreement”) is entered into by and between:
Lincday Ltd, a company incorporated in Cyprus, with its principal place of business at Athinodorou Business Centre, Charalampou Mouskou, Paphos 8010, Cyprus (“Lincday” or the “Disclosing Party”),
and
the individual or legal entity submitting information through the Lincday website (“Recipient”).
By submitting any form or request on the Lincday website, the Recipient acknowledges and agrees to be bound by this Agreement.

1. Purpose
The purpose of this Agreement (“Purpose”) is to allow Lincday to disclose certain confidential, proprietary, or sensitive information to the Recipient solely for the purpose of evaluating a potential business, consulting, or advisory relationship.

2. Confidential Information
“Confidential Information” means any non-public information disclosed by Lincday to the Recipient, whether orally, visually, electronically, or in writing, including but not limited to:

• business strategies and methodologies,
• technical or AI-related concepts,
• pricing, proposals, and commercial terms,
• client or partner information,
• financial or operational data,
• intellectual property,
• any information that reasonably should be understood as confidential.

Confidential Information does not include information disclosed by the Recipient to Lincday.

3. Obligations of the Recipient
The Recipient agrees to:
3.1 Keep all Confidential Information strictly confidential and not disclose it to any third party without Lincday’s prior written consent;
3.2 Use the Confidential Information only for the Purpose and for no other reason;
3.3 Protect the Confidential Information with at least the same degree of care used to protect its own confidential information, but not less than reasonable care;
3.4 Promptly notify Lincday of any unauthorized disclosure or use.

4. Exclusions
Confidential Information does not include information that the Recipient can demonstrate:
a) is or becomes publicly available without breach of this Agreement;
b) was lawfully known to the Recipient prior to disclosure by Lincday;
c) is independently developed without reference to Lincday’s Confidential Information;
d) is lawfully obtained from a third party without confidentiality obligations.

5. Term and Survival
5.1 This Agreement becomes effective upon submission of a website form and remains in effect for three (3) years.
5.2 The Recipient’s confidentiality obligations with respect to Confidential Information survive for five (5) years from the date of disclosure.

6. Return or Destruction
Upon Lincday’s request, the Recipient shall promptly return or permanently destroy all Confidential Information and confirm such destruction in writing.

7. Remedies
The Recipient acknowledges that unauthorized disclosure may cause irreparable harm.
Lincday is entitled to seek injunctive and equitable relief, in addition to any other legal remedies.

8. Required Disclosures
The Recipient may disclose Confidential Information only if required by law or court order, provided that the Recipient (where legally permitted) gives Lincday prompt notice to allow protective measures.

9. No License or Obligation
Nothing in this Agreement:

• grants any license or rights to Confidential Information;
• obligates either party to enter into a business relationship.

10. Governing Law and Jurisdiction
This Agreement is governed by the laws of the Republic of Cyprus.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Cyprus.

11. Entire Agreement
This Agreement constitutes the entire understanding between the parties concerning confidentiality and supersedes all prior discussions.
Electronic acceptance via website submission shall be deemed legally binding.
